Welcome to Pro Cleaning Depot. The terms “we,” “us,” and “our” refer to Pro Cleaning Depot. Pro Cleaning Depot is operated by R WIN HOLDINGS Inc.
We operate this store and website, including the related information, content, features, tools, products, and services provided through it, collectively referred to as the “Services.” Pro Cleaning Depot is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you access or use the Services.
Please read these Terms of Service carefully. They contain important information about your legal rights, including warranty disclaimers, limitations of liability, and other terms that may affect you.
By visiting, interacting with, purchasing from, or otherwise using the Services, you agree to be bound by these Terms of Service and our Privacy Policy.

When you place an order, you are making an offer to purchase the products included in that order.
Pro Cleaning Depot reserves the right to accept, decline, limit, or cancel an order for a lawful reason, including product availability, suspected fraud, pricing errors, payment issues, manufacturer restrictions, shipping limitations, or other circumstances affecting our ability to fulfill the order.
Your order is not accepted until we confirm its acceptance. Payment must be authorized and processed before an order can be completed.
Please review your order carefully before submitting it. Because products may be released to a manufacturer or fulfillment provider shortly after an order is accepted, we may be unable to accommodate cancellation or modification requests.
If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or telephone number provided with the order.
Returns and refunds are governed by our Returns & Refunds Policy, including the manufacturer-specific eligibility requirements that apply to each product.
You may purchase products for personal, household, or lawful business use. You may not purchase products for unauthorized resale, unlawful export, or transfer in violation of applicable laws, manufacturer restrictions, or these Terms.
SECTION 4 - PRICES AND BILLING
Prices, discounts, promotions, and product availability are subject to change without notice.
The price charged for a product will be the price shown when the order is submitted, subject to correction of pricing or listing errors as permitted by law. Applicable charges will be displayed during checkout and in your order confirmation.
Unless otherwise expressly stated, posted prices do not include applicable taxes, customs duties, import charges, expedited-delivery charges, special-delivery charges, or other charges that may apply to your order.
Shipping promotions and shipping charges are subject to our Shipping Policy and the terms shown on the applicable product page or during checkout.
Prices displayed by Pro Cleaning Depot may differ from prices offered by manufacturers, marketplaces, unauthorized sellers, or other third parties.

Shipping, processing, fulfillment, and delivery estimates are provided for informational purposes only and are not guaranteed.
Manufacturer processing, product availability, carrier conditions, weather, destination, holidays, remote-location requirements, customs processing, and events outside our reasonable control may affect fulfillment and delivery times.
We are not responsible for delays caused by carriers, manufacturers, customs authorities, severe weather, government action, labor disruptions, natural disasters, or other events outside our reasonable control.
If an order is lost or damaged during transit, please contact us promptly so that we can assist with the carrier or manufacturer claim and determine the available resolution.
Customers must inspect delivered products and packaging promptly and report visible shipping damage in accordance with our Shipping Policy.
Nothing in this section limits any rights or remedies that cannot legally be limited under applicable law.

Shopify’s name, logo, product names, service names, designs, and slogans are trademarks of Shopify. Other names, logos, product names, service names, designs, and slogans displayed through the Services belong to their respective owners.
SECTION 7 - OPTIONAL TOOLS
We may provide access to optional tools, integrations, applications, financing services, payment services, review platforms, chat tools, or other services operated by third parties.
We do not necessarily monitor or control these third-party tools. Unless otherwise stated, access to third-party tools is provided “as is” and “as available,” subject to the applicable third party’s terms and policies.

Pro Cleaning Depot is powered by Shopify, which enables us to provide the Services to you.
Sales and purchases made through our store are transactions directly between you and Pro Cleaning Depot. Shopify is not the seller of products offered by Pro Cleaning Depot.
By using the Services, you acknowledge that Shopify is not responsible for sales between you and Pro Cleaning Depot, including injury, damage, or loss resulting from products purchased from Pro Cleaning Depot, except to the extent responsibility cannot be excluded under applicable law.
To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to transactions between you and Pro Cleaning Depot.

If an order is canceled after payment has been collected, we will issue the applicable refund to the original payment method.

8. Stop accessing the Services if we request that it do so.

You remain responsible for amounts incurred before termination.
The following provisions will survive termination to the extent applicable: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and other provisions that by their nature should survive.

EXCEPT AS EXPRESSLY STATED BY PRO CLEANING DEPOT OR REQUIRED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT ACCESS TO THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS, THE ABOVE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS A RIGHT OR REMEDY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.
Manufacturer warranties, when available, are separate from these Terms and are governed by the applicable manufacturer’s warranty documentation.
SECTION 17 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRO CLEANING DEPOT, R WIN HOLDINGS INC., SHOPIFY, AND THEIR RESPECTIVE AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES ARISING FROM OR RELATED TO:
1. YOUR USE OF OR INABILITY TO USE THE SERVICES.
2. A PRODUCT PURCHASED THROUGH THE SERVICES.
3. AN ERROR OR OMISSION IN CONTENT.
4. UNAUTHORIZED ACCESS TO OR ALTERATION OF INFORMATION.
5. CONDUCT OR CONTENT OF A THIRD PARTY.
6. ANY OTHER MATTER RELATING TO THE SERVICES.
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, LIABILITY WILL BE LIMITED ONLY TO THE EXTENT PERMITTED BY LAW.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED.
SECTION 18 - INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Pro Cleaning Depot, R WIN HOLDINGS Inc., Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, judgments, costs, and reasonable attorneys’ fees arising from:
1. Your material breach of these Terms or a policy incorporated into them.
2. Your unlawful use of the Services.
3. Your violation of applicable law.
4. Your infringement or violation of a third party’s rights.
We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice will not relieve you of your obligations unless the delay materially prejudices your ability to defend the claim.
We may participate in or control the defense and settlement of an indemnifiable claim, subject to applicable law. We will not agree to a settlement that imposes a non-monetary obligation on you without your consent, which will not be unreasonably withheld.
You agree to reasonably cooperate in the defense of an indemnified claim.

If any provision of these Terms is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law.
The unenforceable portion will be considered severed from these Terms, and the remaining provisions will remain valid and enforceable.

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms and any separate agreements through which we provide the Services are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
Subject to applicable law, any legal action or proceeding arising from or relating to these Terms or the Services must be brought in a state court located in Anne Arundel County, Maryland, or in the United States District Court for the District of Maryland, as applicable.
You and Pro Cleaning Depot consent to the personal jurisdiction and venue of those courts.
Nothing in this section prevents either party from pursuing a claim in another forum when applicable law requires or permits it.

Headings are provided for convenience and organization only. They do not limit, expand, or otherwise affect the interpretation of these Terms.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms, except where additional consent is required by law.
